Zeniti AI LLC (referred to as "Zeniti.ai," "we," "our," or "us") is a Texas-based LLC providing digital mental health and wellness services and products. These Terms of Service ("Terms") govern your access to and use of the Zeniti.ai website, application, services, and products (collectively, "Zeniti.ai Services"). By accessing or using Zeniti Services, you agree to comply with and be bound by these Terms.
If you do not agree to these Terms, do not use Zeniti.ai Services.
1. Acceptance of Terms
By using Zeniti.ai Services, you agree to these Terms of Service. If you are using Zeniti.ai Services on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these Terms. These Terms apply to all users of Zeniti.ai Services, including but not limited to customers, subscribers, and visitors.

Zeniti.ai reserves the right to modify or update these Terms at any time. When we do, we will post the updated Terms on our website with a revised "Effective Date." Your continued use of Zeniti.ai Services after the posting of any changes will constitute your acceptance of those changes. Please review these Terms regularly to stay informed of any updates.
3. User Responsibilities
As a user of Zeniti.ai Services, you agree to:
- Use Zeniti.ai Services for lawful purposes only.
- Comply with all applicable local, state, and federal laws.
- Refrain from engaging in any activity that could damage, disable, overburden, or impair the proper functioning of Zeniti.ai Services or interfere with other users’ use of the platform.
- Not share your account credentials with others and take reasonable precautions to keep your account secure.
- Not engage in fraudulent, abusive, or harmful behavior toward Zeniti.ai, other users, or third parties.
4. Account Creation and Security
To use Zeniti.ai Services, you may be required to create an account. You agree to provide accurate, complete, and up-to-date information during the registration process and maintain the accuracy of this information. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account.
Zeniti.ai is not responsible for any unauthorized access to your account or any damages that result from such access.
5. Subscription and Payment Terms
Zeniti.ai offers various subscription-based services, including access to the Zeniti.ai AI-powered virtual coach, coaching programs, online courses and digital products. By subscribing to these services, you agree to the following:
- Pricing: All prices for Zeniti.ai Services, including virtual coaching subscriptions, coaching programs, courses, and digital products will be disclosed at the time of purchase. Prices are subject to change, and we will notify you of any changes prior to billing.
- Billing and Payment: You authorize Zeniti.ai to charge your payment method for the applicable subscription fees. We accept payments through third-party processors (e.g., Stripe) for your convenience.
- Subscription Term: Subscriptions may be monthly or annual, depending on the plan selected. All subscriptions automatically renew at the end of the term unless canceled. You can manage your subscription and payment details through your Zeniti.ai account.
- Refunds and Cancellations: Subscription fees are non-refundable, except where required by applicable law. You can cancel your subscription at any time by following the cancellation process outlined on our platform. Cancellations take effect at the end of the current billing cycle.
6. User Content and Intellectual Property
- Ownership of User Content: You retain ownership of the content you submit to Zeniti Services (e.g., feedback, comments, uploaded materials). However, by submitting content, you grant Zeniti.ai a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purposes of operating and improving the Zeniti.ai platform.
- Intellectual Property: All content, software, code, and materials available through Zeniti.ai Services (including but not limited to the Zeniti GPT, online courses, coaching materials, digital products and website content) are the exclusive property of Zeniti.ai and are protected by intellectual property laws. You may not copy, distribute, or use Zeniti.ai's intellectual property without prior written permission.
7. Services and Limitations
Zeniti.ai offers the following services:
- AI-Powered Virtual Coaching GPT ("Zeniti GPT"): A virtual coach designed to provide users with personalized mental health and wellness support. While the virtual coach can offer guidance on mental health and general wellness topics, it does not replace licensed medical or psychological care.
- Coaching Programs: Zeniti.ai offers individual and group coaching programs focusing on mental health, wellness, and personal development.
- Online Courses: Educational materials designed to help users improve their mental health and wellness. These courses include learning modules, exercises, and resources.
- Digital Products ("Wellness Essentials"): Wellness guides, checklists, and other digital products that support users in their mental wellness journey.
- Product and Service Recommendations: As part of our commitment to providing the best resources for mental health and wellness, Zeniti.ai may recommend third-party products or services, including wellness tools, supplements, apps, websites, products, books, and more. These recommendations may be based on research and our expertise in the field.
Disclaimer: Some of these recommendations may include affiliate links, meaning Zeniti.ai may earn a commission or referral fee if you choose to purchase through these links. These commissions help support the continued development and improvement of Zeniti.ai Services. However, please note that all product recommendations are made with the goal of benefiting your wellness journey, and Zeniti.ai strives to recommend only high-quality products or services. Your decision to purchase any recommended product or service is entirely at your discretion.
Zeniti.ai is not responsible for any personal outcomes or decisions made as a result of using these services.
Zeniti.ai products and services, including Zeniti GPT (hosting on the ChatGPT Platform with OpenAI), are designed for informational and entertainment purposes only. These services are not intended as a substitute for professional mental health care, medical treatment, diagnosis or treatment. Always seek the advice of a licensed physician, therapist, or other qualified healthcare provider with any questions you may have regarding a medical condition or mental health concern. Reliance on any information provided by Zeniti is solely at your own risk.
8. Privacy and Data Collection
Your privacy is important to us. By using Zeniti.ai Services, you agree to the collection, use, and processing of your personal data as described in our Privacy Policy. Zeniti.ai collects user data to provide services, improve user experience, and comply with legal obligations. You have the right to request access, correction, or deletion of your personal data in accordance with applicable law.

9. Prohibited Activities
You agree not to engage in any of the following activities while using Zeniti Services:
- Violating any applicable laws or regulations.
- Using Zeniti.ai Services for illegal, harmful, or fraudulent purposes.
- Interfering with or disrupting the operation of Zeniti.ai Services or any user’s access to the platform.
- Attempting to reverse-engineer, decompile, or disassemble any part of Zeniti.ai Services.
10. Dispute Resolution
Any disputes arising from or related to these Terms of Service shall be governed by the laws of the State of Texas. You agree to resolve any disputes through arbitration (rather than through a court of law) in accordance with the rules of the American Arbitration Association. Any claims must be filed within one year from the date the claim arose.
11. Limitation of Liability
Zeniti.ai is not liable for any indirect, incidental, special, or consequential damages arising from your use of Zeniti.ai Services, including but not limited to loss of data, revenue, or opportunity. Your use of Zeniti.ai Services is at your own risk, and the platform is provided "as is" and "as available."
12. Indemnification
You agree to indemnify, defend, and hold Zeniti.ai, its officers, employees, agents, and affiliates harmless from any and all claims, damages, losses, and expenses (including legal fees) arising from your use of Zeniti.ai Services or violation of these Terms.
13. Termination and Suspension
Zeniti.ai reserves the right to suspend or terminate your access to Zeniti.ai Services at our discretion, without notice, for violation of these Terms or for any other reason. Upon termination, you will no longer have access to the Services, and any outstanding balances owed will become immediately due.
14. Amendments
Zeniti.ai may modify these Terms at any time by posting an updated version on the Zeniti.ai website. You will be notified of any material changes, and your continued use of Zeniti.ai Services after such changes constitutes acceptance of the revised Terms.
15. Miscellaneous
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Entire Agreement: These Terms constitute the entire agreement between you and Zeniti with respect to your use of Zeniti.ai Services and supersede any prior agreements or understandings.
- Assignment: Zeniti.ai may assign its rights and obligations under these Terms to third parties without notice to you.
